Silk Road Strategies provides backtesting tools, strategy analysis, and related financial data and analytics (the "Service") for informational and educational purposes. The Service is not a broker, investment adviser, or financial advisor. We do not provide investment, legal, or tax advice. Past performance and backtest results do not guarantee future results. You are solely responsible for your trading and investment decisions.

3. Account Registration and Security

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

4. Acceptable Use

Use the Service for any illegal purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Scrape, copy, or automate access to the Service beyond normal use without our permission.

5. Subscriptions and Payment

Paid plans are billed in advance (e.g., monthly or annually) according to the plan you select. Fees are non-refundable except as required by law or as stated in our refund policy. We may change fees with reasonable notice; continued use after a fee change constitutes acceptance. You authorize us to charge your payment method on file for recurring subscription fees until you cancel. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period.

6. Intellectual Property

The Service, including but not limited to software, design, text, graphics, and data, is owned by Silk Road Strategies or our licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use in accordance with these Terms and your plan.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. FINANCIAL DATA AND BACKTEST RESULTS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE INVESTMENT ADVICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILK ROAD STRATEGIES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED DOLLARS IF GREATER).

9. Indemnification

You agree to indemnify, defend, and hold harmless Silk Road Strategies and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including breach of these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the courts located in Ontario, Canada.
